Professional Services Firms
A professional services firm sells judgement, and its main risks are the terms on which it sells: scope, liability, confidentiality, ownership of work and who is responsible when something goes wrong. We help you write those terms clearly, protect the firm and its partners, and resolve disputes when clients or colleagues disagree.
Consultancies and advisory firms
Engagement letters, scope and fee terms, liability caps, IP in deliverables and confidentiality.
IT and technology services firms
Master services agreements, SLAs, data-processing terms, security questionnaires and audits.
Accountants, architects and design firms
Professional-body rules, client agreements, indemnity and insurance, and claims.
Staffing, recruitment and outsourcing firms
Client and candidate agreements, contractor structures, non-solicit and compliance.

Where we come in
Five gaps we often see.
Each looks minor until a client is unhappy or a partner leaves.
Unlimited liability by default
Without a cap or exclusion, a single project failure can exceed the fee many times over. Set limits and match your insurance.
Scope that keeps growing
Vague scope and no change control turn goodwill into unpaid work. Define scope and how changes are priced.
Unclear ownership of deliverables
If the contract does not say who owns the work and your reusable tools, disputes arise when the relationship ends.
Copying enterprise data terms without reading them
Signing a client's data and security schedule without checking it can commit you to controls you cannot meet.
Partner terms left verbal
Partners who never agreed exit, valuation and non-compete terms tend to fall out at the worst time.

Why firms choose us
We understand how you sell and deliver.
Retain us for a single matter or for the long run. Either way you deal with the same accountable team.
Deal-focused
We draft to help you close engagements, not to slow them, and to protect margin once they start.
Security and privacy in-house
Client data and security demands are handled by the same team, so answers are consistent.
Partner-friendly
We help partners and founders agree the hard terms early, when it is still easy.
Google reviews
See what our clients say on Google.
We would rather you read independent reviews than take our word for it. Every review is on our Google Business Profile.
Questions
Common questions.
General information only, not legal advice. Every situation differs, so speak to us about yours.
What should a consulting engagement letter include?
The parties, scope and deliverables, fees and expenses, timelines and dependencies, change control, confidentiality, ownership of work, liability limits, data-protection terms, termination and dispute resolution.
We draft these to fit your service and your clients.
Can we limit our liability to a client?
Generally, yes, through a liability cap and exclusions, within the limits of law and reasonableness. Some liabilities, such as fraud, cannot be excluded.
We align caps with your insurance and the fee.
Who owns the work we produce for a client?
It depends on the contract. Commonly the client owns the specific deliverables, while the firm keeps its pre-existing tools and know-how under a licence.
We write this clearly so both sides know what they own.
How do we respond to a client's security questionnaire?
Answer accurately, consistently and only for controls you actually operate. Incorrect answers can become contractual commitments or misrepresentation claims.
We help review and prepare answers, and fix gaps.
Can we stop staff from taking clients when they leave?
Post-employment non-compete clauses are generally hard to enforce in India, but confidentiality, non-solicit during employment and protection of trade secrets are more workable.
We design practical protections that stand up.
What if a client refuses to pay?
Start with a well-drafted demand, then consider mediation, a summary suit or arbitration depending on your contract. Documented delivery and acceptance are key evidence.
We advise on the fastest route.
How much does this cost?
Contracts and reviews are available at fixed fees, and disputes are scoped after we see the papers. Ongoing support can run through SIRI Shield.
Fees are agreed in writing before work starts.
